1. Agreement to Terms

By accessing or using FitzFlow ("the Platform"), operated by Fitzpatrick Systems ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

These terms apply to all users of the Platform, including shop owners, administrators, technicians, service writers, and any other authorized users.

2. Description of Service

FitzFlow is a cloud-based digital vehicle inspection (DVI) and shop management platform. The Platform provides scheduling, customer intake, multi-point inspections, photo documentation, PDF report generation, estimates, invoices, and customer management tools.

Each FitzFlow instance is custom-configured per shop. The Platform is provided on a software-as-a-service (SaaS) basis.

3. Subscription & Payment

Hosted Plans

FitzFlow hosted plans start at $129 per month per shop. Pricing may vary for custom-built instances or additional features. All prices are in USD unless stated otherwise.

Billing

Subscriptions are billed monthly in advance. Payment is due on the billing date each month. We accept major credit cards and may support additional payment methods at our discretion.

No Long-Term Contracts

FitzFlow subscriptions are month-to-month. There are no long-term commitments or early termination fees.

Failed Payments

If a payment fails, we will attempt to notify you and retry the charge. If payment remains unsuccessful after a reasonable period, we may suspend or terminate your account.

4. Cancellation

You may cancel your subscription at any time. Upon cancellation:

• Your access continues through the end of your current billing period.
• No refunds are issued for partial months.
• Your data will be retained for 30 days after cancellation, after which it may be permanently deleted.
• You may request a data export before your account is closed.

5. Acceptable Use

You agree to use FitzFlow only for lawful purposes related to automotive repair and shop management. You may not:

• Upload illegal, harmful, or offensive content.
• Attempt to reverse-engineer, scrape, or exploit the Platform.
• Abuse storage or bandwidth in a way that impacts other users.
• Share login credentials or allow unauthorized access to your account.
• Use the Platform to store or transmit malware.

6. Intellectual Property

Platform Ownership

The FitzFlow platform — including its code, design, branding, and documentation — is owned by Fitzpatrick Systems. All rights are reserved.

Your Data

You own your data. All customer records, inspection data, photos, estimates, invoices, and other content you create through the Platform belong to you (or your shop). We do not claim ownership of your data.

License to Us

By using the Platform, you grant us a limited license to host, store, and process your data solely for the purpose of providing the service to you.

7. Account Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms or the Acceptable Use Policy.
• Fail to pay for your subscription after reasonable notice.
• Engage in activity that threatens the security or performance of the Platform.

We will make reasonable efforts to notify you before any termination, except in cases of severe or urgent violations.

8. Limitation of Liability

To the maximum extent permitted by law:

• FitzFlow is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
• Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim.

9. Warranty Disclaimer

We do not guarantee that the Platform will be uninterrupted, error-free, or free of vulnerabilities. We make no warranty regarding the accuracy or reliability of any content or data processed through the Platform.

10. Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your information.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of [Your State], without regard to conflict-of-law provisions. Any disputes will be resolved in the courts of [Your County/State].
